Welcome to Dashbd! Please read these Terms and Conditions carefully before using the Dashbd application, the Calendar application or this website.

This document, together with the Privacy Policy and any other policies or guidelines posted at dashbd.com (the "Terms") is a contract between you ("you") and Dashbd Inc. concerning the conditions associated with your use of the website dashbd.com and the associated applications, including "Dashbd" and "Calendar", (together the "Website"). In these Terms, "Dashbd", "we", "us" or "our" means Dashbd Inc.

Please read all of the following Terms carefully before using the Website and/or Services. By visiting or accessing the Website, or using our Services, you accept all the terms and conditions stated in these Terms (including the Privacy Policy). If, at any time, you do not or cannot agree to the terms of these Terms (including the Privacy Policy), you must stop visiting or accessing the Website and using our Services. These Terms solely govern access to and use of the Website. For the applicable terms and conditions governing online purchases made through the Website, please see Section 10 (Purchase Terms and Conditions). If you do not agree with our Purchase Terms and Conditions, please do not purchase the Services.

1. Conditions Relating To Use Of The Website

You need a supported Web browser to access the Website and an Apple TV to download the Applications. You acknowledge and agree that Dashbd may cease to support a given Web browser and that your continuous use of the Website and/or Services will require you to download a supported Web browser. You also acknowledge and agree that the performance of the Website is incumbent on the performance of your computer or mobile equipment and your Internet connection. You are responsible for maintaining the confidentiality of your account information, including your password, in respect of any account on the Website. You are responsible for all uses of your registered account(s), whether or not actually or expressly authorized by you. You are responsible for verifying and maintaining the protection, security, and distribution of your account information, including account numbers, user names, and passwords. All liability relating to password management resides with you and under no circumstances, including negligence or misconduct, shall Dashbd be liable for any damages that result from the use of your account. In all circumstances, you agree not to permit any third party to use or access your account.

2. Prohibited Activities

The content, information and the Website, as well as the infrastructure used to provide such content and information, is proprietary to us or our providers. You agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, products, or services obtained from or through the Website and/or Services. Additionally, you agree not to:

• Use the Website or its contents for any commercial purpose;
• Access, monitor or copy any software, content or information of the Website using any robot, spider, scraper or other automated means or any manual process for any purpose without our express written permission;
• Violate the restrictions in any robot exclusion headers on the Website or bypass or circumvent other measures employed to prevent or limit access to the Website;
• Impersonate or misrepresent your affiliation with any person or entity;
• "Frame", "mirror" or otherwise incorporate any part of the Website into any other website without our prior written authorization;
• Access, tamper with, or use any non-public areas of the Website or Dashbd’s computer systems;
• Attempt to probe, scan, or test the vulnerability of the Website or any related system or network or breach any security or authentication measures used in connection with the Website and such systems and networks;
• Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Website;
• Harm or threaten to harm other users in any way or interfere with, or attempt to interfere with, the access of any user, host or network, including without limitation, by sending a virus, overloading, flooding, spamming, or mail-bombing the Website;
• Provide payment information belonging to a third party;
• Use Website in an abusive way contrary to its intended use, to its documentation or to Dashbd’s reasonable instructions;
• Systematically retrieve data or other content from the Website to create or compile, directly or indirectly, in single or multiple downloads, a collection, compilation, database, directory or the like, whether by manual methods, through the use of bots, crawlers, or spiders, or otherwise;
• Infringe third party intellectual property rights when using or accessing the Website.

Dashbd will have the right to investigate and prosecute violations of any of the above, including without limitation possible infringement of any intellectual property rights and possible security breaches, to the fullest extent of the law. Dashbd may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms. You acknowledge that, although Dashbd has no obligation to monitor your access to or use of the Website, it has the right to do so and may disclose any content, records, or electronic communication for the purpose of operating the Website, to ensure your compliance with these Terms, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body.

3. Software Available On This Website

The software, information, content, products, and services (the "Software") that are made available to download from the Website is the copyrighted work of Dashbd. Your use of such Software is governed by these Terms.

Please note that all Software, including, without limitation, all HTML code contained on this Website, is owned by Dashbd, and is protected by copyright laws and international treaty provisions. Any reproduction or redistribution of the Software is expressly prohibited, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.

WITHOUT LIMITING THE FOREGOING, COPYING OR REPRODUCTION OF THE SOFTWARE TO ANY OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS EXPRESSLY PROHIBITED. THE SOFTWARE IS WARRANTED, IF AT ALL, ONLY ACCORDING TO THE TERMS OF THE LICENSE AGREEMENT.

The information, content, graphics, text, sounds, images, buttons, trademarks, service marks, trade names and logos (the "Materials") contained in this Website and Mobile App are protected by copyright, trademark, database right, sui generis right and other intellectual property laws under national laws and international treaties. Dashbd or its licensors (as the case may be) retain all right, title, interest and intellectual property rights in and to the Materials. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, Materials, software, products or services obtained from the Website.

Other than expressly provided herein, nothing in these Terms shall be construed as inferring by implication or otherwise any licence or right under any copyright, trademark, database right or other intellectual property or proprietary interest of Dashbd, its licensors or any third party. Any persons breaching any of these Terms may be prosecuted. Any other trademarks, service marks, logos, trade names and any other proprietary designations are the trademarks or registered trademarks of their respective parties. If you are aware of an infringement of our brand, please let us know by e-mailing us at info@dashbd.com.

5. Termination

Dashbd may at any time and for any reason, with or without cause, and in its sole discretion, immediately: (i) suspend or terminate (in whole or in part) your authorization to use the Website; (ii) suspend, terminate, remove or permanently delete and destroy, as applicable, your registered account with Dashbd or any material that you or others may have posted or submitted to the Website; (iii) restrict access to the materials posted or submitted to the Website; and (iv) bar you from any future use of the Website; all without any prior notice or any liability to you or any other person, and you agree to comply with all such measures.

Dashbd reserves the right to temporarily or permanently discontinue the Website at any time. Dashbd will deploy commercially reasonable efforts to notify you of such discontinuation.

8. Indemnity

You agree to defend, indemnify, and hold harmless Dashbd and its affiliates, and their respective officers, directors, employees and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Website or the Software.

9. Products and Services Information

Dashbd has put forth all necessary efforts to ensure that all descriptions contained on the Website are up to date. For several reasons beyond the control of Dashbd, modifications can take place which may affect descriptions found on the Website. Dashbd will not be held liable for any of these modifications. Prices and availabilities listed on the Website are subject to change at any time and Dashbd reserves the right to correct any error and/or inaccuracies regarding a listed price and the availability of a product or service without any further notice.

We do not guarantee the availability of any product and/or services listed on the Website.

THE DISPLAY OF PRODUCTS AND/OR SERVICES ON THE WEBSITE DOES NOT CONSTITUTE AN OFFER BY US TO SELL PRODUCTS. WE CANNOT CONFIRM THE PRICE OF ANY PRODUCTS AND/OR SERVICES UNTIL YOU SUBMIT AN ORDER.

10. Purchase Terms and Conditions

This section governs all purchases and subscriptions for the Services, including subscriptions purchased through the Apple App Store and Google Play Store. By purchasing a subscription, you agree to be bound by these Purchase Terms and Conditions.

10.1 Subscription Tiers

Dashbd offers multiple subscription tiers with different levels of features and limitations. Each subscription tier provides access to specific features and functionality as described at the time of purchase. Subscription tiers may vary between the Dashbd application and the Calendar application. The features, limitations, and pricing for each subscription tier are subject to change, and we will provide reasonable notice of any material changes to your subscription tier.

10.2 Payment Processing

Subscriptions to the Services are processed and managed through third-party platforms, including but not limited to the Apple App Store (for iOS and Apple TV applications) and Google Play Store (for Android applications). All payments for subscriptions are processed by these third-party platforms in accordance with their respective terms and conditions and payment policies. Dashbd does not directly process or store your payment information. By purchasing a subscription, you agree to be bound by the terms and conditions of the applicable app store platform through which you make your purchase.

10.3 Subscription Duration and Renewal

Subscriptions are available for monthly or annual periods, as specified at the time of purchase. Your subscription will automatically renew at the end of each subscription period unless you cancel it in accordance with these Terms. You will be charged the subscription fee for the renewal period at the then-current price for your subscription tier unless you cancel your subscription before the renewal date.

Automatic Renewal: By purchasing a subscription, you acknowledge and agree that your subscription will automatically renew at the end of each subscription period (monthly or annual, as applicable) unless you cancel it. The renewal will occur automatically and you will be charged the applicable subscription fee for the renewal period. The renewal charge will be processed using the same payment method you used for your initial purchase, or such other payment method as you may have designated in your account settings with the applicable app store platform.

10.4 Cancellation Policy

You may cancel your subscription at any time through the settings of the app store platform through which you purchased the subscription (Apple App Store or Google Play Store). Cancellation of your subscription will take effect at the end of your current subscription period. You will continue to have access to the Services until the end of the subscription period for which you have already paid. No refunds will be provided for the unused portion of your current subscription period, except as required by applicable law or as set forth in Section 10.5 (Refund Policy).

To cancel a subscription purchased through the Apple App Store, please follow Apple's instructions for managing subscriptions, which can be found in your Apple ID account settings. To cancel a subscription purchased through the Google Play Store, please follow Google's instructions for managing subscriptions, which can be found in your Google Play account settings.

10.5 Refund Policy

Refunds for subscriptions are handled in accordance with the refund policies of the app store platform through which you purchased the subscription (Apple App Store or Google Play Store). Dashbd does not directly process refunds. If you are eligible for a refund under the applicable app store platform's refund policy, you must request the refund through that platform. Dashbd will honor any refunds granted by the app store platform in accordance with their policies.

In addition to app store platform refund policies, Dashbd may, in its sole discretion, provide refunds or credits in exceptional circumstances. If you believe you are entitled to a refund, please contact us at privacy@dashbd.com. All refund requests are subject to review and approval by Dashbd.

10.6 Price Changes

Dashbd reserves the right to change the price of subscription tiers at any time. If we increase the price of your subscription tier, we will provide you with reasonable advance notice (at least 30 days) of such price increase. The price increase will apply to your next renewal period. If you do not agree to the price increase, you may cancel your subscription before the renewal date in accordance with Section 10.4 (Cancellation Policy). If you do not cancel, your subscription will renew at the new price.

Price decreases will apply immediately to all subscribers. We may also offer promotional pricing or discounts from time to time, which may not apply to existing subscriptions unless specifically stated.

10.7 Free Trials

Dashbd may offer free trial periods for subscriptions from time to time. If you sign up for a free trial, you will have access to the subscription features for the duration of the trial period. At the end of the free trial period, your subscription will automatically convert to a paid subscription and you will be charged the applicable subscription fee unless you cancel before the trial period ends. You may cancel your subscription at any time during the free trial period to avoid being charged. Free trial eligibility and duration are determined by Dashbd in its sole discretion and may vary by subscription tier and app store platform.

10.8 Subscription Management

You are responsible for managing your subscription through the applicable app store platform. This includes updating your payment method, viewing your subscription status, and canceling your subscription. Dashbd does not have access to or control over your payment information or subscription management settings, which are managed entirely by the app store platform. If you have questions about managing your subscription, please refer to the help documentation provided by the app store platform (Apple App Store or Google Play Store) or contact their customer support.

10.9 Access Rights and Expiration

Your access to subscription features will continue for the duration of your active subscription period. If your subscription expires or is cancelled, you will lose access to the subscription features at the end of your current subscription period. You may continue to use any free features of the Services that are available without a subscription. Dashbd is not responsible for any loss of data or functionality that may result from the expiration or cancellation of your subscription.

10.10 Multiple Applications

Subscriptions may be available for the Dashbd application, the Calendar application, or both applications. A subscription for one application does not automatically grant access to subscription features in the other application, unless specifically stated at the time of purchase. Each application may have its own subscription tiers, features, and pricing. You may purchase separate subscriptions for each application if you wish to access subscription features in both applications.

10.11 Subscription Transfers

Subscriptions are non-transferable and are tied to the app store account through which they were purchased. You may not transfer your subscription to another user or to another app store account. If you wish to use the Services on a different device, you may download and use the application on that device using the same app store account that was used to purchase the subscription, subject to the terms and conditions of the app store platform.

10.12 Changes to Subscription Features

Dashbd reserves the right to modify, add, or remove features from any subscription tier at any time. We will use reasonable efforts to provide notice of material changes to subscription features. If we remove a material feature from your subscription tier, we will provide you with reasonable advance notice and, if applicable, offer you the option to cancel your subscription and receive a prorated refund for the unused portion of your subscription period, subject to the refund policies of the applicable app store platform.

10.13 Additional Terms for Apple App Store Applications (End-User License Agreement)

This Section 10.13 applies to your use of any Dashbd software application that is made available for download through the Apple App Store (including, without limitation, the Dashbd and Calendar applications) on iOS, iPadOS, macOS and tvOS devices (each, a "Licensed Application"). These additional terms are between you and Dashbd Inc. only, and not with Apple Inc. ("Apple").

(a) Acknowledgement. You and Dashbd acknowledge that this End-User License Agreement ("EULA") is concluded between you and Dashbd only, and not with Apple. Dashbd, and not Apple, is solely responsible for the Licensed Application and the content thereof. This EULA does not provide for usage rules for the Licensed Application that conflict with the Apple Media Services Terms and Conditions (which you acknowledge you have had the opportunity to review).

(b) Scope of License. The license granted to you for any Licensed Application is a non-transferable license to use the Licensed Application on any Apple-branded product that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that such Licensed Application may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing, if applicable.

(c) Maintenance and Support. Dashbd is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in these Terms or as required under applicable law. You and Dashbd acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

(d) Warranty. Dashbd is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed under these Terms. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you; and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application. Any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Dashbd, subject to the limitations set forth in these Terms and to the extent permitted by applicable law.

(e) Product Claims. You and Dashbd acknowledge that Dashbd, not Apple, is responsible for addressing any claims of you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation (including, if applicable, in connection with the Licensed Application's use of HealthKit, HomeKit, or other Apple frameworks). Nothing in this EULA is intended to limit Dashbd's liability to you beyond what is permitted by applicable law.

(f) Intellectual Property Rights. You and Dashbd acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party's intellectual property rights, Dashbd, and not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.

(g) Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

(h) Developer Name and Address. Dashbd Inc. is the developer of the Licensed Application. You may contact Dashbd with any questions, complaints or claims with respect to the Licensed Application at: privacy@dashbd.com or info@dashbd.com. Dashbd may update this contact information from time to time in accordance with Section 11 (Amendments).

(i) Third Party Terms of Agreement. You must comply with any applicable third party terms of agreement when using the Licensed Application. For example, if you use a VoIP application as part of or in connection with the Licensed Application, you must not be in violation of your wireless data service agreement when using the Licensed Application.

(j) Third Party Beneficiary. You and Dashbd acknowledge and agree that Apple, and Apple's subsidiaries, are third party beneficiaries of this EULA and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third party beneficiary thereof.

11. Amendments

Be sure to return to this page periodically to review the most current version of the Terms. We reserve the right at any time, at our sole discretion, to change or otherwise modify the Terms without prior notice, and your continued access or use of the Website signifies your acceptance of the updated or modified Terms. If we modify these Terms, we will update the "Last Updated" date at the bottom of these Terms. By continuing to access or use the Website, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, please do not use the Website.

12. Links To Third-Party Sites

The Website contains links to other websites operated by parties other than Dashbd. Such hyperlinks are provided for your reference and convenience only. You acknowledge and agree that Dashbd is not responsible or liable for the availability or accuracy of such websites or resources; or the content, products, or services on or available from such websites or resources.

We do not exercise control over third party websites. These other websites may place their own cookies or other files on your computer, collect data or solicit personal information from you. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources or the content, products or services on or available from such websites or resources. Other websites follow different rules regarding the use or disclosure of the personal information you submit to them. We encourage you to read the privacy policies or statements of the other websites you visit.

13. No Endorsement

By using the Website, you agree that any legal remedy or liability that you seek to obtain for actions or omissions of other third parties will be limited to a claim against the particular third party who caused you harm and you agree not to attempt to impose liability on, or seek any legal remedy from Dashbd with respect to such actions or omissions.
